ABOUT THE ROLE: We are looking for an experienced, technical, and business-minded Senior Counsel to enable Vercel’s product innovation and shipping velocity. You will partner closely with Engineering, Product and Design (”EPD”), Security, and other cross-functional teams to provide all aspects of legal support throughout the product development lifecycle, while also building out processes and programs as a foundational member of the Legal team. This is a senior individual contributor role that focuses on product counseling, and may also support commercial transactions from time to time. This position reports to the VP of Legal. This role is based in SF where we have a 3 day/week in-office requirement. WHAT YOU WILL DO: * Partner closely with EPD teams to enable cutting-edge product initiatives, balancing innovation and speed with responsible risk management and customer trust. * Identify and drive resolution of issues related to privacy, data security, AI, platform safety, marketing, competition, intellectual property, and other legal and regulatory areas. * Help translate evolving laws and market expectations into practical, actionable guidance. * Work with cross-functional teams to build scalable processes and draft/maintain templates that allow Vercel to ship faster and smarter over time. * Engage on special projects and provide legal support to sales, partnerships, procurement, M&A, and other teams as needed, particularly in transactions where nuanced product knowledge is critical. ABOUT YOU: * Admitted to the California Bar or eligible for Registered In-House Counsel exception and in good standing. * 8+ years of legal experience, including 4+ years of product legal experience at a software company. * Significant experience counseling product and engineering teams through the product development lifecycle from conception to launch and advising on the legal and regulatory aspects of product development in the software industry. * Strong understanding of cloud services and general SaaS, PaaS, IaaS business practices and relevant global regulatory requirements. * Able to quickly form and convincingly communicate a point of view, under time pressure and with imperfect information. * Loves being a generalist and avoids silos. Will take on additional responsibilities and explore subjects outside of your core expertise where no job is too big or too small. * Strong judgment and risk-assessment and mitigation skills, adapting legal requirements in creative and pragmatic ways. * Can independently manage and negotiate technology agreements with customers, technology partners, and technology vendors. * Prefers fast-paced, highly variable environments, with a proven track record of building new or improving existing processes at other hyper-growth companies. * Enjoys mentoring and advising Legal teammates regardless of formal reporting lines. The San Francisco, CA base pay range for this role is $270,000-$300,000. Actual salary will be based on job-related skills, experience, and location. Compensation outside of San Francisco may be adjusted based on employee location. The total compensation package may include benefits, equity-based compensation, and eligibility for a company bonus or variable pay program depending on the role. About this Role: This is your chance to have a critical impact at a dynamic gaming company in the midst of an exciting globalization journey. You'll be joining the Group International Legal Department which oversees legal matters for the NetEase group and coordinates with the legal teams within each division of the group. We are looking for a talented Group Transactional and Commercial Counsel. In this leadership role, you will be advising on a dynamic range of M&A, investments and divestments across multiple jurisdictions, and technology, media and telecom and general commercial matters at the highest international standards, including licensing, outsourcing, software technology development and professional services agreements, innovative FinTech projects, regulatory matters and cross-border technology transfers. This position will report to the General Counsel of NetEase, Inc. NetEase operates in multiple countries globally, and this role is primarily responsible for: Corporate Transactions * Lead deal execution on a wide range of corporate transactions, including structuring, drafting, and negotiating transaction documents for acquisitions, disposals, minority investments, fund investments, financing transactions and joint ventures across multiple jurisdictions. * Assess and advise senior stakeholders on legal, regulatory, and commercial risks relating to corporate transactions. * Navigate regulatory approvals including antitrust, foreign investment clearances, and securities law requirements across multiple jurisdictions. * Work with legal team to provide end-to-end transaction support, including structuring, due diligence, drafting, negotiation, and completion. * Coordinate closely with internal business teams (e.g., senior management of business units and the NetEase group, business development, finance, tax, etc.) on all aspects of transactions. * Provide legal support on post-transaction monitoring and corporate governance matters. Commercial Contract Management & TMT Advisory * Draft, review, and negotiate a variety of TMT and other commercial agreements for the NetEase group and individual business units across multiple jurisdictions. * Provide thought leadership regarding the legal and regulatory aspects of projects involving cutting-edge technologies such as Web3, blockchain, AI, tokenization, online payment systems, AI, etc. * Advise on TMT related policies and procedures, including terms of use and custody and trust arrangements. * Keep up-to-date with the most recent technology legal and business developments and continue to develop relevant knowledge within the sectors in which the NetEase group operates. * Support NetEase group's corporate functions (finance, tax, procurement, IT, corporate secretarial, corporate M&A/ JV, global investments, HR, treasury and others), including daily contract reviews, in-house advisory and commercial disputes. * Establish contract standards and templates to streamline the review process for everyday commercial agreements across business units. Core Competencies * Lead and mentor a high-performing team of legal counsel, fostering a collaborative, business-oriented legal culture, and work closely with other legal specialists within the NetEase group. * Provide training to the wider legal & internal control functions, business partners and executive leadership. * Select, manage and coordinate external counsel and advisors across different jurisdictions to ensure high-quality, cost-effective representation. * Ability to bridge international deals using high-level Mandarin and English language skills to review and negotiate bilingual transaction and commercial documents. Qualifications: * Admitted and licensed attorney in U.S., Hong Kong, Singapore or another major common-law jurisdiction with 8+ years relevant post-qualification experience working in well-regarded law firms and/or in-house legal teams; in-house experience preferred. * Ability to lead, manage and motivate team members located in multiple jurisdictions. * Self-starter and able to navigate various stakeholders/ businesses operating in different sectors and jurisdictions. * Excellent transactional training. * Expertise with TMT laws, regulations and industry best practices across different regions, including an understanding of emerging trends such as in the areas of FinTech/blockchain, money transmission, AI, online game regulation and digital infrastructure. * Strong drafting, negotiating and problem-solving skills and the ability to manage complex issues and deal structures. * Excellent leadership and communication skills, with the flexibility and cultural sensitivity to bring different perspectives together and work through competing priorities. * Demonstrated leadership abilities, including the ability to influence and drive change within the organization. * Strong analytical and problem-solving skills, with the ability to make informed decisions in complex situations. * Experienced in managing outside counsel. * Comfortable working with a geographically dispersed team. * High-level proficiency in Mandarin Chinese and English is a must. * Preferred Location: Hong Kong, Singapore or another Asia-Pacific hub; U.S., Canada or other locations considered for exceptional candidates. IMPACT OF A SENIOR LEGAL COUNSEL As Senior Legal Counsel, you will serve as a practical, strategic, and collaborative partner working directly across our group companies with Product, Engineering, Sales, Pricing, Customer Success, and Marketing teams. You will be deeply embedded in the product and sales lifecycles, building legal compliance into the core architecture of our platform, navigating emerging AI frameworks, and unblocking complex and bespoke commercial deals. Your goal is to translate emerging regulations into clear, actionable business paths, and apply valuable legal expertise to the technical and commercial reality of how modern cloud applications are built and sold. In this role you will be part of our Legal team and reporting to the General Counsel. WHAT TO EXPECT * Embed compliance into the product lifecycle: Partner directly with Product and Engineering to review new platform features and documentation, advise on open-source software (OSS) and other vendor integrations, draft fit-for-purpose product terms and disclosures, and ensure continuous compliance with evolving technology sector laws. * Govern AI and emerging tech: Formulate clear legal frameworks for features utilizing AI/ML models—focusing on training data provenance, output liabilities, and compliance with the EU AI Act. You will also help monitor legal and regulatory changes and develop internal policies for responsible AI deployment. * Manage infrastructure, vendor, and partner risk: Review and negotiate complex upstream infrastructure contracts (IaaS), reseller agreements, EULAs, and AWS/Azure/GCP Marketplace agreements. You will also support broader corporate initiatives and help design and scale strategic partner programs. * Integrate data privacy and security: Collaborate with our DPO, Senior Data Privacy Counsel, and Security team to map data flows and embed global privacy requirements directly into the cloud architecture. * Accelerate go-to-market and legal enablement: Maintain and update customer-facing terms (ToS, SLAs, Acceptable Use Policy) and act as a trusted advisor to global sales teams during complex and bespoke enterprise negotiations. To drive efficiency, you will develop legal playbooks, templates, and training compliance processes for internal stakeholders. WHAT YOU BRING * Legal qualification: A Juris Doctor (JD, LLB, or equivalent) with active qualification to practice law in your jurisdiction. * Tech sector experience: 5 to 10+ years of post-qualification experience within a law firm or in-house legal department, specifically supporting SaaS, cloud infrastructure, or developer-facing platforms. * Technical familiarity: You do not need to write code, but you have a strong understanding of how cloud applications are built and deployed. You are comfortable discussing concepts like APIs, containerization, edge computing, merge/pull requests, and multi-tenant databases. * Drafting and negotiating: Experience drafting and negotiating all manner of contracts, including bespoke customer-facing contracts, partnership agreements and product terms. * Language proficiency: Highly proficient in both spoken and written English and French. * Execution and mindset: A proactive problem-solver with excellent communication, documentation, and interpersonal skills. You value clarity over complex legal language and thrive when working both autonomously and collaboratively in a fast-paced environment. BONUS POINTS * A technical background, such as a degree or prior professional experience in Computer Science or Software Engineering. * Specific prior in-house experience working within IaaS or PaaS architectures.
