What we’re looking for Relevant experience: 8+ years legal experience, including 3+ years in-house at a scale-up SaaS company (Series B–D preferred). Experience with 6-figure enterprise deals and common sticking points + solutions. High-velocity sales partner: Trusted partner who navigates legal friction, finds workable solutions in real time, and builds scalable approaches to reduce cycles. Automation-minded: Builder mentality; uses AI daily to 10× drafting/review speed; contributes to shared playbooks and repositories. Master of the deal: Comfortable drafting/negotiating MSAs, Enterprise T&Cs, DPAs from scratch. Familiar with DORA, EU AI Act, GDPR, and common frameworks raised in negotiations. Solutions over playbooks: Handles bespoke, complex deals; partners with Sales, Security, Finance, and Product to align quickly in ambiguous situations. Commercial judgment: Explains issues from a business perspective; frames risk and tradeoffs like a business partner. Pragmatic risk tolerance: Comfortable making high-stakes decisions with imperfect facts; balances long-term protection with urgency to win market share. Bias for action and brevity: Prefers quick calls or concise written guidance vs. lengthy memos. Understands AI + AI companies: Can navigate AI governance/risk/model-training concerns and explain LLM provider vs. AI system deployer. What you’ll do Own enterprise deals: Lead drafting and negotiation of MSAs, enterprise T&Cs, DPAs, and other tech agreements end-to-end across largest/most complex deals. Solve sticking points: Step in on complex AI-related concerns; propose practical solutions and drive stakeholder alignment. Raise the floor: Use Lovable and other AI tools to extend leverage, reduce cycles/cycle times, and increase deal velocity. Regulatory translation: Stay ahead of EU AI Act, GDPR, Data Act; turn compliance into competitive advantage via commercial terms. Audit-ready hygiene: Keep deals clean, documented, and consistent to support audits and expansion. The role As a Commercial Counsel in Legora’s Stockholm office, you will play a central role in supporting one of the fastest-growing legal technology companies globally. You will work closely with our commercial teams, advising on a broad range of matters with a primary focus on drafting and negotiating commercial contracts. This role requires a high degree of independence and the ability to operate across multiple time zones, partnering closely with stakeholders to enable deals while managing risk. You will report to the Head of Legal, based at our Stockholm headquarters. Legora’s legal function is a forward-deployed, AI-first team working across multiple jurisdictions and legal disciplines. We act as trusted partners to the business, with particular focus on product development, operations, and commercial initiatives. What you will be doing: * Act as a commercial legal partner to the business, working closely with senior stakeholders in Growth, Operations, and Procurement on customer and supplier engagements. * Lead the drafting, review, and negotiation of customer and supplier contracts, with a strong focus on closing deals efficiently and pragmatically. * Advise on commercial risk allocation, pricing structures, liability, and contractual protections within customer and supplier agreements. * Support go-to-market and procurement activities by enabling scalable, repeatable commercial contracting practices. * Address data protection and compliance considerations primarily within the context of customer and supplier contracts, ensuring risks are appropriately managed without slowing execution. * Develop and maintain commercial templates, playbooks, and guidelines to standardise negotiations and improve deal velocity. Who you are * Law degree (LL.M. or equivalent) from Sweden, the UK, or an EU-jurisdiction, qualified to practice in that country. * Proficiency in both spoken and written English. Spanish and/or German language skills are considered a plus. * 3-5 years of experience at a top-tier law firm and/or as an in-house legal counsel. * Strong experience negotiating B2B SaaS agreements and supporting commercial teams. You’re an excellent negotiator. * Strong legal judgment and confidence in making decisions independently. * Experience in handling corporate matters and drafting and negotiating complex commercial agreements. * Experience with data privacy matters, IT security and/or corporate law is meritorious. * Your focus is on achieving meaningful business outcomes, translating into actionable advice delivered clearly and comprehensively. * You thrive in a fast-paced, dynamic entrepreneurial environment and rapidly evolving business setting. Reporting to the Lead Counsel Corporate Commercial & Construction, you will work closely with commercial and operational teams across the business, providing pragmatic legal advice that enables growth, manages risk, and supports critical business decisions. This is an opportunity for a commercially minded lawyer who enjoys being close to the business and taking ownership of complex transactions. You will be trusted to lead contract negotiations, advise stakeholders across multiple functions, and contribute to the development of scalable legal processes in a fast-paced and evolving environment. As Stegra continues to grow, the role offers significant exposure to a broad range of commercial matters, close collaboration with senior stakeholders, and the opportunity to help shape how legal support is delivered within a rapidly expanding international organization. KEY RESPONSIBILITIES As a fast-growing company with cross-over functions between teams, the scope of this role will evolve, however, core responsibilities include: - Independently drafting, reviewing, and negotiating commercial agreements, including supply, sales, logistics, and other key contracts. - Advising internal stakeholders on commercial risks, liability exposure, and contractual terms. - Collaborating with sales, procurement, business development, logistics, and other commercial teams to support business execution. - Translating complex legal issues into plain-language, actionable guidance for non-legal stakeholders. - Maintaining and improving standard contract templates and playbooks to streamline the contracting process. - Monitoring developments in commercial law and ensuring compliance with applicable laws, regulations, and internal policies. - Preparing summaries and reports on contract status and risks for stakeholders and management. - Delivering training and guidance to business teams on legal fundamentals, standard terms, and contract best practices. MINIMUM QUALIFICATIONS We are looking for candidates who meet the following criteria: - Master of Laws (LL.M. or equivalent) with strong academic credentials. - 3–5 years of relevant commercial law experience, ideally combining top-tier law firm and in-house legal work. - Demonstrated ability to independently manage the full lifecycle of commercial transactions, from term sheet stage through initial drafting, negotiations, and final execution. - Strong analytical and problem-solving abilities in a commercial law context. - Effective negotiation and communication skills with a strategic, commercially-minded approach. - A collaborative team player with the ability to build trusted relationships across cross-functional business teams. - Fluency in English (written and spoken); additional languages are a plus.
