The role As a Product Counsel in Legora’s Stockholm office, you will play a central role in supporting one of the fastest-growing legal technology companies globally. You will partner closely with our product and engineering teams, providing strategic and practical legal guidance across the full product lifecycle from early-stage feature development to launch and beyond. Your advice will directly shape Legora's platform, product roadmap and user experience. This role requires a high degree of independence and the ability to operate across multiple time zones, partnering closely with stakeholders to enable commercial initiatives while also managing data governance and IP risk. Legora’s legal function is a forward-deployed, AI-first team working across multiple jurisdictions and legal disciplines. We act as trusted partners to the business, with a strong commercial mindset and a particular focus on enabling scalable product development, supporting go-to-market activities and navigating the evolving regulatory landscape for AI-powered legal technology. In addition to your core product counsel responsibilities, you will contribute to Legora's IP management. Beyond strong tech and IP judgment, we value curiosity, problem-solving, and a proactive, solution-oriented approach as we help redefine how legal work is done globally. What you will be doing: * Act as a trusted legal partner to Legora's product and engineering teams, providing hands-on counsel throughout the product lifecycle from concept and design through development, launch and iteration. * Advise on product-related legal risks, including data practices, AI governance, content moderation, terms of service and regulatory compliance across multiple jurisdictions. * Draft, review, and negotiate product-related agreements, including integrations, partnerships, licensing, brand, and marketing agreements. * Advise on IP risk allocation, licensing models, usage rights, ownership, and contractual protections in customer- and partner-facing agreements. * Support the protection and enforcement of Legora’s IP and brand, including trademark and domain portfolios, assisting in registrations and management, and supporting IP-related prosecution, disputes and litigation as needed. * Develop and maintain templates, playbooks, and guidelines to standardise negotiations, protect core IP assets, and improve execution speed. Who you are * Law degree (LL.M. or equivalent) from Sweden, the UK, or an EU-jurisdiction, qualified to practice in that country. * Proficiency in both spoken and written English. Additional language skills are meritorious. * Several years of experience at a top-tier law firm and/or as an in-house legal counsel with meaningful exposure to technology and intellectual property-related legal work. * Strong experience drafting and negotiating technology agreements, and navigating regulatory frameworks relevant to software and AI products. Meaningful experience working with data privacy is meritorious. * An excellent communicator who can translate complex legal and regulatory risks into clear, actionable guidance for non-legal stakeholders. * Strong legal judgment and confidence in making decisions independently, with a focus on achieving meaningful business outcomes. * You thrive in a fast-paced, dynamic entrepreneurial environment and a rapidly evolving business setting. We need a Corporate Counsel who is as comfortable negotiating a term sheet as they are reviewing a stock option plan or cleaning up cap table mechanics the week before a fundraise closes. This role sits at the heart of Lovable’s legal function - owning equity, corporate transactions, and governance, while acting as the connective tissue between our Commercial and Product counsel teams. What we're looking for Relevant Experience: 4–8 years of legal experience, with a meaningful blend of law firm (ideally corporate/securities at a top-tier firm) and in-house tenure at a high-growth technology company (Series B–D preferred). You have seen at least one full fundraise cycle and have hands-on experience with equity documentation. Equity & Cap Table Fluency: You can draft and negotiate term sheets, stockholder agreements, and voting agreements in your sleep. You understand dilution mechanics, liquidation preferences, anti-dilution provisions, and pro-rata rights—not just conceptually, but operationally. You’ve managed a cap table and know what “getting it wrong” costs. Corporate Transactions Ownership: You are comfortable owning the legal workstream on venture financings, strategic investments, and early-stage M&A or acqui-hire transactions. You don’t need a partner looking over your shoulder to get a deal to close. Governance Architect: You understand what good corporate hygiene looks like—board consents, 409A valuations, option pool management, state filings, and subsidiary structuring. You know that governance done poorly becomes a fundraising liability. Gap-Filler Mentality: You thrive in the white space. When a deal or a situation doesn’t fit neatly into Commercial or Product’s lane—employment equity, a strategic partnership with a VC-backed company, a cross-border corporate restructuring—you pick it up and run. Automation First: You have a “developer mindset.” If you’ve drafted the same consent or SAFE agreement three times, you build a template, a playbook, or a self-service workflow. You likely use AI agents and LLMs daily to accelerate your own output. Pragmatic Risk Tolerance: Lovable moves fast. You are comfortable giving a clear, defensible recommendation with 70% of the information—and you know when to escalate vs. when to just decide. Bias for Action: You’d rather close the loop on a signature block over Slack than wait a week for a formal process. What you'll do Own the Equity Stack: Manage all equity-related legal work end-to-end—option grants, RSU plans, secondary transactions, employee liquidity programs, and 409A coordination. You are the single point of accountability when a new hire asks “how does my equity work?” and when a lead investor asks about our fully diluted cap table. Lead Corporate Transactions: Drive the legal workstream on venture financings (priced rounds, SAFEs, convertible notes), strategic investments, and any M&A activity. Coordinate with external counsel where needed but own the process, timeline, and output. Build & Maintain Corporate Infrastructure: Keep our corporate house in order across all entities—board and stockholder consents, annual filings, subsidiary governance, and cross-border structural hygiene. Some of what you'll be up to: Acting as a thought partner to government legal advisers, institutional counsel, and public sector legal teams - building trusted relationships, addressing tricky pain points, and identifying high-value opportunities for them to scale their use of Legora across departments and jurisdictions. Working together with Go To Market and Engagement in taking full ownership of client relationships - from running pilots with key government departments, to onboarding new team members across legal, policy, and regulatory functions, and ultimately guiding organisation-wide adoption across government bodies and public institutions. Be the voice of government and institutional users inside Legora - sharing insights from policy teams, regulatory bodies, parliamentary counsel offices, and public sector legal departments that directly inform product development, roadmap priorities, and strategic direction. Delivering clear, confident product demos and training that bring the power of our platform to life - whether you're presenting to a government legal department, rolling out to a regulatory agency, or training institutional legal teams. Documenting best practices from leading public sector organisations, contribute to the development of scalable playbooks, and help shape how we grow this function globally. Confidently helping government and institutional teams navigate one of the biggest shifts in how public sector legal work operates - from evaluating the ROI and efficiency gains of AI to clearly mapping how AI will impact different functions, from legislative drafting to regulatory compliance and policy development. Understanding and navigating the unique requirements of public sector organisations, including security clearances, data sovereignty, transparency obligations, and procurement processes. What you bring You come from the world of government or institutional law; but you've never been content with how things have always been done. You may have worked as a government lawyer, parliamentary counsel, or legal adviser in a public institution, managing complex policy matters and legislative work. Perhaps you've worked in private practice serving government clients, understanding their unique needs and constraints. Maybe you've been involved in legal operations, digital transformation, or innovation initiatives within the public sector. Either way, you know how government and institutional legal teams think, work, and (sometimes) struggle and you're ready to help them level up with technology. You'll thrive in this role if you: Have a background in law, with experience working in government, public institutions, or serving public sector clients - ideally with exposure to multiple departments, policy areas, or jurisdictions. Understand the public sector context: accountability to citizens, budget constraints, transparency requirements, complex stakeholder management, and the balance between innovation and risk aversion in government settings. Are tech-curious and product-savvy. Not necessarily a coder, but passionate about navigating technical conversations, especially around things like generative AI, technology implementation, innovation and productivity. Communicate clearly and confidently with diverse stakeholders, from government legal advisers to policy makers, and from civil servants to engineers. I.e. translating across disciplines is second nature to you. Bring structure to ambiguity and energy to complexity; and enjoy being the calm, credible presence in a fast-moving environment. Understand how to evaluate and improve existing processes as a direct result of new and emerging technologies - whether that's streamlining legislative drafting, enhancing regulatory analysis, improving policy development, or managing freedom of information requests. Are proactive, self-directed, and comfortable juggling multiple client relationships at once. Care deeply about quality, but don't get stuck in perfectionism - you get things done, and you make them better over time.
