Molecule and BIO.xyz are building the foundation of Decentralized Science (DeSci) — where biotech meets web3 to make scientific research community-owned, transparent, and faster to market. Molecule provides the infrastructure to turn intellectual property (IP) into programmable, on-chain assets through our IP-NFT framework and evolving protocol stack. This enables researchers, patients, and communities to fund and govern biotech projects in new, open ways. BIO.xyz is the coordination and economic layer of DeSci, powering BioDAOs through funding, governance, and ecosystem alignment. Location: Remote - preferred: Canada, US, UK, EU, or Switzerland You will be a force multiplier for Molecule's Chief Legal Officer. This is a broad-based legal operations role inside a venture-backed startup working across biotech IP, decentralized finance, and blockchain-based scientific funding - spanning Switzerland, the EU, the US, and Canada simultaneously. You won't just process documents. You will design and run AI-powered legal workflows end-to-end: draft contracts using LLMs, build Human-in-the-Loop review protocols, maintain prompt libraries and SOPs, and continuously raise the bar on what a single paralegal can ship. The AI tools are not a shortcut - they're your operating system, and you own the quality of everything that comes out of them. WHAT YOU'LL DO * Draft, review, and manage corporate documents - shareholder agreements, board resolutions, NDAs, MOUs, term sheets, and governance instruments for DeSci projects * Prepare transactional documents for fundraising rounds, token sales, SAFTs, IP licensing agreements, and IP-NFT frameworks * Support IP portfolio management: patent prosecution coordination, trademark filings, IP assignment agreements, and research collaboration agreements across US, EU, and international jurisdictions * Assist litigation and dispute resolution - pleadings, discovery, deposition summaries, privilege logs, and case chronologies alongside outside counsel * Operate and quality-review AI legal tools integrated into Molecule's workflows: LLM-driven drafting, summarization, research, and compliance screening * Design structured HITL review protocols so AI-generated work product meets first-tier quality before it reaches the CLO * Build and maintain prompt libraries, workflow templates, and SOPs for AI-assisted legal tasks * Monitor regulatory developments across SEC, FINMA, MiCA, and Canadian securities regulators affecting DeSci, IP tokenization, and digital assets * Support KYC/AML documentation, GDPR and data protection compliance, and regulatory filings WHO YOU ARE * AI-native. You have real, hands-on experience using LLMs for legal drafting, research, or document analysis - and you've built or operated HITL review workflows, not just heard about them * Paralegal-credentialed. Diploma, certificate, or degree from an accredited institution, with 3+ years of experience in corporate, transactional, or litigation matters at a firm or in-house * Jurisdictionally versatile. Comfortable working across US, Canadian, Swiss, and EU legal systems - or eager to get there fast * Organized under pressure. You manage multiple concurrent matters, deadlines, and stakeholders in a distributed startup without dropping threads * Independent and high-ownership. You don't wait to be told what to do next. You take matters end-to-end and escalate when it counts * Curious about the mission. We're looking for a Paralegal to join our internal legal team and help keep Railsware's day to day legal operations running smoothly. You'll work closely with our People Team, finance, and security colleagues, supporting everything from onboarding paperwork to yearly compliance processes. This is a great fit if you're early in your legal career, curious about how legal works inside a fast moving tech company, and excited to learn by doing real work, not just observing it. YOUR SKILLS * Degree in Law * Understanding of core legal principles under EU and US law * Strong tech literacy, ability to learn new tools and systems quickly * Sharp attention to detail * Curiosity, proactive approach, and eagerness to learn * English: B2 or higher WOULD BE A PLUS * Experience working in or around the IT sphere YOUR RESPONSIBILITIES * Support repeatable legal processes, including data privacy, W-8BEN filings, trademarks registration, and other corporate processes. * Provide timely, high quality legal support to teams across Railsware, covering team requests, onboarding activities, and product or project related legal questions. * Prepare, draft, review, and maintain legal documents such as agreements and policies. * Support the company's compliance processes. * Conduct legal research on a range of legal matters as they come up. * Support the legal side of our cooperation with clients and partners.
Reports to: Chief of Legal, Compliance & Commercial Operations Duration: 12-month fixed term contract. Based: London Job Purpose: This 12-month fixed-term role will provide additional legal capacity during a period of increased demand across commercial contracting, intellectual property protection and corporate legal matters. The role will support current priorities, including drafting commercial and IP contracts, protecting and maintaining intellectual property rights, applying strong commercial awareness, managing corporate legal requirements and conducting thorough legal research. It will also help ensure timely and effective legal advice while longer-term legal resource needs are reviewed. The team: This role sits within the Legal team, which includes a paralegal, trainee solicitor, Assistant Legal Counsel and Legal Counsel, and is led by the Chief Legal, Compliance and Commercial Operations Officer. Principal accountabilities: General * Support the Foundation’s strategic goal to increase funding by partnering with the Earned Revenue, Jurisdictional Revenue and Institutional Teams and other internal stakeholders. * Support the team to grow its identity and build strategic partnerships across the organisation through developing clear and efficient processes and SLA’s, supported by legal technology. * Support work towards Legal Team’s annual strategic objectives. * Provide sound legal advice based on thorough research. Intellectual Property * Collaborate with Legal Team colleagues and other internal stakeholders to maintain, manage and protect the Foundation’s global intellectual property (IP) rights, including monitoring for and addressing infringing activities, and maintenance of the Foundation’s IP portfolio. * Work to ensure that licences for commercial and non-commercial use of Foundation copyright material and trademarks are comprehensive and consistent for comparable licensee cohorts across the global market. * Instruct and consult with external counsel, including budgeting and cost management. * Advise on contracts and provide legal advice regarding contract, corporate and IP law. * Commercial Contracts and Mission Related Contracts * Negotiate and draft a wide variety of agreements as required by the organisation, including but not limited to commercial and supplier agreements (including SAAS). * Philanthropic funding agreements and MOUs in support of the Foundation’s mission. * Oversight and management of contracts lifecycle process. * Dispute resolution as required with third parties including suppliers/ licensees. Compliance and Governance * Assist Chief of Legal with activities relating to data protection, data management, regulatory compliance including sanctions, anti-trust matters, and information governance. * Provide legal support regarding corporate legal requirements. Skills and Attributes: * High level of attention to detail and strong English writing skills. * Ability to draft clearly and succinctly. * Excellent standard of oral English with ability to effectively participate in meetings and negotiations. Qualifications and Experience: * Qualified legal professional and/or UK qualified solicitor. * Good working knowledge of contract, corporate, commercial and IP law. Knowledge of the same within EU, Asia Oceania region and/or US an advantage. * Experience of drafting contracts and general contract correspondence. * High level of commercial awareness and ability to understand how each contract fits with the overall objectives and policies of the Foundation. * Knowledge of regulatory issues an advantage, inc. sanctions, competition law, data protection. * Knowledge of employment law would be desirable. * Demonstrable evidence-based research skills; familiarity with Nexis Lexis, Lexis PLC and Westlaw desirable. * Work experience in a global multi-location set up would be desirable. * Familiarity with a multi-location set up would be advantageous * Proficiency with Microsoft Office Suite.
