Key Responsibilities: Fund Raising: * Establishing Pantheon funds and assisting in their fundraising; advising on fund structure; drafting / reviewing fund documentation (LPAs, PPMs, side letters, etc.); co-ordinating investor closings; fund maintenance work * Assisting with segregated account programmes – drafting / reviewing / negotiating term sheets, investment management agreements and segregated limited partnership agreements * Coordinating with internal marketing and investor relations teams, independent boards of directors, external counsel and administrators in respect of the launch, marketing/fundraising and maintenance of the Pantheon funds * Preparing and maintaining various Pantheon fund/client checklists Corporate and Regulatory: * Working alongside the Compliance team on issues connected with all UK/European regulatory aspects of Pantheon’s business (e.g. AIFMD and related issues around filings and marketing passports); keeping up to date on new European legislation relevant to fund structuring and management * Identification, interpretation and application of applicable UK laws, rules and regulations * Drafting / reviewing / negotiating a wide range of contracts (including commercial agreements, contracts with service providers, and statements of work) * Advising staff of legal and regulatory requirements/boundaries/risks * Supervising and educating external counsels on Pantheon practices * Liaising with applicable regulatory authorities * Attending to other general Pantheon group corporate matters Investment Work: * Assisting the various investment team divisions (primary, secondary, co-investment, infrastructure) in relation to investment transactions; assisting with queries on NDAs, fund / transaction terms * Preparing and maintaining various Pantheon investment checklists Knowledge and Experience Required: * Good ‘A’ Level (or equivalent) * Either an undergraduate Law degree, or any undergraduate degree plus a Graduate Diploma in Law * Qualified as a Solicitor in England & Wales. * English qualified solicitors must maintain a practising certificate. The candidate will have meaningful participation across a wide range of job functions supporting the investment platform. The candidate should appreciate the entrepreneurial nature of the position and the opportunity to play a key role in the ongoing launching of new funds and products within a well-established, global investment firm. The candidate should be well-versed in Private Equity, Infrastructure and/or Multi-Stratgies fund management, accounting, valuation, risk management, semi-liquid private markets products in Europe, the role of third-party fund service providers and general finance and reporting oversight functions. The individual will join the Private Wealth Operations team based in London. The Associate, Fund Finance – Private Wealth, working with the Principal, Fund Finance - Private Wealth, will play a central role in the Private Wealth Fund Finance team. This will include key fund finance activities such as fund administrator accounting oversight, fund audit, reporting, valuation procedures, and other operational processes that may be required. About the Role As General Counsel, you will lead and continue to develop our legal team, inheriting a strong, capable group and taking it to the next stage of growth. Legal operations and AI governance * Working hand-in-hand with our AI and RevOps teams, build on existing legal operations, including contract lifecycle management, legal tech tooling, workflows, knowledge management and budgeting, identifying opportunities for further improvement. * Develop and maintain the company's approach to AI governance, including policies and frameworks for the use of AI tools internally and AI-related features within the product, working closely with product and engineering teams. * Drive efficiency and self-service across the business through clear processes, training and accessible legal resources. Risk management and compliance * Identify, assess and manage legal and regulatory risk across the business, horizon scanning for upcoming changes in law and regulation across the UK, EU and further afield. * Own and maintain the company's compliance frameworks, policies and corporate governance documentation. * Strong working knowledge of data privacy law (UK/EU GDPR, Swiss FADP), with the judgement to apply this confidently in collaboration with the information security and data teams. Cross-functional partnership * Build strong working relationships with key stakeholders across finance, sales, marketing, product and information security, embedding legal input proactively in business processes. * Support the sales team on deal structuring, contract negotiation and escalations to help close revenue efficiently. * Partner with finance on corporate matters and governance requirements arising from the company's investor relationships. International expansion * Lead on the legal aspects of continued international expansion, including new entity set-up, employment and regulatory considerations, and local law advice coordination across new jurisdictions. * Manage relationships with external counsel across multiple jurisdictions, ensuring cost-effective and high-quality legal support.
