THE ROLE The Legal Secretary will provide administrative and governance support across the Group Legal function with a primary focus on the Corporate Legal team. This role is designed for a law graduate, paralegal, legal administrator or an individual aspiring to pursue a career in corporate governance or company secretarial practice. Working under the supervision of the Group Company Secretary and Legal Counsel, you will support the governance of Trading 212 Group entities across multiple jurisdictions, including the UK, Ireland, Cyprus, the UAE and Australia, and any other jurisdictions in which the Group operates from time to time. You will assist with board and committee administration, entity management, corporate records, KYB requests and legal administration, while developing an understanding of corporate governance across different legal jurisdictions. WHAT YOU’LL DO * Assist with the administration of Group entities across multiple jurisdictions. * Provide administrative support to other teams within Group Legal (including commercial, regulatory, data protection and disputes) as required. * Prepare and distribute Board and Committee packs. * Draft Board and Committee agendas. * Prepare first drafts of Board and Committee minutes. * Assist with drafting shareholder resolutions, written resolutions and routine corporate documentation. * Manage correspondence and coordination with external counsel, notaries, registered agents and corporate service providers, including invoice tracking. * Assist with drafting and maintaining Board and Committee Terms of Reference. * Maintain statutory registers and corporate records. * Support e-signature workflows (e.g. DocuSign) and maintain the legal team's filing and document management systems." * Support KYB requests by collating corporate documents. * Assist with responses to audit, regulatory and internal information requests. * Liaise with directors, senior stakeholders and external advisers to coordinate governance activities. * Coordinate document execution, certification, notarisation and apostille requirements. * Maintain governance templates and precedent documents. * Support company secretarial filings and corporate projects. * Provide administrative support to the Corporate Legal team. * Handle confidential information with discretion. * Undertake any other duties reasonably requested by the Group Company Secretary, Legal Counsel or Group Chief Legal Officer. WHAT YOU NEED TO HAVE * Strong legal academic background (minimum 2:1 degree or equivalent). * Demonstrable experience or exposure to corporate governance, company secretarial work, or transactional corporate matters. * Familiarity with KYB/KYC processes and basic anti-money laundering frameworks. * Excellent written and verbal communication skills, with fluent and well-spoken English. * Strong organisational skills and attention to detail. * Proficient in Google Suite. * Able to manage multiple priorities and work independently with minimal supervision. * Strong analytical skills and excellent written English. * Discreet, reliable, and proactive. * Understanding of the importance of confidentiality and legal professional privilege. * Familiarity with multi-jurisdictional group structures and cross-border corporate matters. * Interest in fintech, capital markets, or digital investing. As Legal Secretary, you will support our legal and corporate governance work, with a focus on KYC, banking relationships, powers of attorney and day-to-day legal administration. You will work closely with the Legal, Company Secretary and Finance teams, as well as local advisers, to keep our entity, banking and documentation landscape organised and up to date. In this role, you will: * Support a solutions-driven legal team in building simple, efficient processes for KYC, banking and entity management. * Act as the main coordinator for KYC and banking documentation (answering due-diligence requests, assembling KYC packs, and supporting bank account openings and periodic reviews). * Maintain and update authorised signatory lists and standard authorisation documents (including powers of attorney), and coordinate their signing, notarisation / legalisation and filing. * Prepare and file statutory forms with Companies House (or relevant registry), including changes to directors, registered office, and share capital. * Liaise with external registrars, agents, and overseas counsel on routine corporate filings and document requests. * Maintain the entity management database and assist with group structure charts and subsidiary records. * Handle purchase orders and invoice approvals for external advisers, and help track and manage legal and corporate secretarial spend. * Help prepare and circulate board and committee packs, and note key actions from internal legal or governance meetings where needed. * Support the corporate governance team in preparing for and attending board meetings. * Draft and circulate board and committee papers, agendas, and minutes under the supervision of the Company Secretary or governance lawyers where needed. * Manage the governance team's calendar of board and committee meetings, AGMs, and key filing deadlines. * Coordinate signature processes for corporate and commercial documents (DocuSign and wet-ink), keeping simple trackers so nothing is missed. * Provide general administrative support to the Legal team (meetings, calendar invites, couriers, filing) and monitor the shared Legal mailbox, routing queries to the right people. * Support wider legal and corporate governance work as required, including basic drafting and formatting of documents, letters and presentations. About the Role As General Counsel, you will lead and continue to develop our legal team, inheriting a strong, capable group and taking it to the next stage of growth. You'll remain hands-on across commercial, corporate, compliance and operational legal matters, acting as the senior legal voice in the business and a trusted advisor to the leadership team as we continue to scale across multiple jurisdictions, manage risk, and mature our legal infrastructure, processes and governance. Key Responsibilities Team leadership * Act as a strategic legal advisor to the executive team and board on key business decisions. * Lead, manage and continue to develop our existing legal team, building further capability and capacity in line with the company's continued growth. * Direct and manage relationships with external counsel and fractional advisers. Corporate and governance * Lead on corporate governance matters across the group's entities. * Act as company secretary (or oversee this function), ensuring the business meets its ongoing corporate compliance obligations in relevant jurisdictions, including Switzerland, the UK and Germany. * Support investor relations from a legal perspective, including shareholder communications, corporate actions and any future fundraising activity. * Maintain and continuously improve the group's corporate structure, including subsidiary governance and inter-company arrangements as the business expands. Commercial contracting * Lead negotiation of high-value, bespoke commercial agreements with customers, partners and vendors, including enterprise SaaS contracts, MSAs, DPAs and strategic partnership agreements. * Continue to refine the existing suite of template agreements and playbooks to enable faster, lower-risk deal cycles as the business scales. * Provide pragmatic, commercially-minded legal input that balances risk mitigation with deal velocity. Legal operations and AI governance * Working hand-in-hand with our AI and RevOps teams, build on existing legal operations, including contract lifecycle management, legal tech tooling, workflows, knowledge management and budgeting, identifying opportunities for further improvement. * Develop and maintain the company's approach to AI governance, including policies and frameworks for the use of AI tools internally and AI-related features within the product, working closely with product and engineering teams. * Drive efficiency and self-service across the business through clear processes, training and accessible legal resources. Risk management and compliance * Identify, assess and manage legal and regulatory risk across the business, horizon scanning for upcoming changes in law and regulation across the UK, EU and further afield. * Own and maintain the company's compliance frameworks, policies and corporate governance documentation. * Strong working knowledge of data privacy law (UK/EU GDPR, Swiss FADP), with the judgement to apply this confidently in collaboration with the information security and data teams. Cross-functional partnership * Build strong working relationships with key stakeholders across finance, sales, marketing, product and information security, embedding legal input proactively in business processes. * Support the sales team on deal structuring, contract negotiation and escalations to help close revenue efficiently. * Partner with finance on corporate matters and governance requirements arising from the company's investor relationships. International expansion * Lead on the legal aspects of continued international expansion, including new entity set-up, employment and regulatory considerations, and local law advice coordination across new jurisdictions. * Manage relationships with external counsel across multiple jurisdictions, ensuring cost-effective and high-quality legal support.
