The Function & Team
The Legal team provides clear, pragmatic advice that
supports Triple Point’s ambitions and protects its
interests. Working in close partnership with investment,
finance, risk and operational teams, the team enables
commercially sound decision-making while ensuring
appropriate governance and risk management.
Role Summary
As Legal Counsel, you will be a trusted adviser to Triple
Point’s Private Credit business. You will play a central
role in structuring, negotiating and executing a broad range
of lending and financing transactions. Working closely with
Origination, Credit, Portfolio Management, Finance and
senior stakeholders, you will provide commercially focused
legal advice that enables informed investment decisions,
protects investor capital and supports the continued growth
of Private Credit.
The role provides exposure across SME Debt Finance,
Corporate Lending, Property Development Finance, Specialty
Finance and Funds Finance, supporting new originations,
refinancings, restructurings and portfolio management
throughout the lending lifecycle.

Key Responsibilities: Fund Raising: * Establishing Pantheon funds and assisting in their fundraising; advising on fund structure; drafting / reviewing fund documentation (LPAs, PPMs, side letters, etc.); co-ordinating investor closings; fund maintenance work * Assisting with segregated account programmes – drafting / reviewing / negotiating term sheets, investment management agreements and segregated limited partnership agreements * Coordinating with internal marketing and investor relations teams, independent boards of directors, external counsel and administrators in respect of the launch, marketing/fundraising and maintenance of the Pantheon funds * Preparing and maintaining various Pantheon fund/client checklists Corporate and Regulatory: * Working alongside the Compliance team on issues connected with all UK/European regulatory aspects of Pantheon’s business (e.g. AIFMD and related issues around filings and marketing passports); keeping up to date on new European legislation relevant to fund structuring and management * Identification, interpretation and application of applicable UK laws, rules and regulations * Drafting / reviewing / negotiating a wide range of contracts (including commercial agreements, contracts with service providers, and statements of work) * Advising staff of legal and regulatory requirements/boundaries/risks * Supervising and educating external counsels on Pantheon practices * Liaising with applicable regulatory authorities * Attending to other general Pantheon group corporate matters Investment Work: * Assisting the various investment team divisions (primary, secondary, co-investment, infrastructure) in relation to investment transactions; assisting with queries on NDAs, fund / transaction terms * Preparing and maintaining various Pantheon investment checklists Knowledge and Experience Required: * Good ‘A’ Level (or equivalent) * Either an undergraduate Law degree, or any undergraduate degree plus a Graduate Diploma in Law * Qualified as a Solicitor in England & Wales. * English qualified solicitors must maintain a practising certificate. Part of maintaining a practising certificate is to undertake regular learning and development to ensure that skills and knowledge remain up to date. Role Summary As Legal Counsel, you will be a trusted legal adviser to Triple Point's Energy businesses. You will play a key role in structuring, negotiating and executing complex financing and energy transactions, while supporting the ongoing management of existing investments and loan portfolios. Working closely with investment, portfolio management and senior stakeholder teams, you will provide pragmatic, commercially focused legal advice that enables growth, manages risk and supports confident decision-making across a diverse range of transactions. The Roles Key Responsibilities Transaction Execution & Advisory * Advise on transaction structuring, identifying legal risks and commercially viable solutions at the earliest stages of a deal. * Draft, negotiate and execute a broad range of finance documents, including facility agreements, intercreditor agreements and security documentation. * Review and negotiate the following: * Power Purchase Agreements (PPAs) * Corporate PPAs * Engineering, Procurement and Construction (EPC) agreements * Operations and Maintenance (O&M) agreements * Direct agreements and related project documentation Portfolio & Asset Management * Provide ongoing legal support across existing portfolios and loan books. * Draft and negotiate amendments, waivers, consents, reservation of rights letters and other portfolio management documentation. * Advise stakeholders on emerging legal, commercial and regulatory issues affecting existing investments. Risk Management & Governance * Identify, assess and communicate legal and commercial risks in a clear and practical manner. * Support the business in balancing risk management with commercial objectives. * Ensure all post-completion requirements are completed accurately, including Companies House filings and security registrations. * Contribute to the development and continuous improvement of legal processes, templates and knowledge sharing across the business. Collaboration & Business Partnership * Build trusted relationships with colleagues across Triple Point. * Work collaboratively with external counsel, counterparties and advisers. * Support a culture of continuous improvement, knowledge sharing and high performance across the Legal function. Experience * Qualified solicitor with extensive years of PQE and holds a current practicing certificate. * Experience in Project Finance/Infrastructure within Energy Transition is essential (including drafting and reviewing underlying project documentation) and one or more of the following areas: cash flow lending, acquisition financing, structured finance and leveraged lending. * Ability to demonstrate a good understanding of facility documentation. * Ability to demonstrate exposure to a broad range of deal structures. * Strong private practice training. * Experience of equity transactions within the energy sector would be desirable. The team supports Man Group in executing its commercial and corporate strategy, protecting it against legal risk and promotes high standards of corporate governance and legal compliance. The role is based in London but involves working with colleagues internationally, in particular the US, Europe and Asia. This is a broad role which encompasses both advisory and transactional matters across every aspect of Man Group’s business, including advising on a wide range of commercial issues which may involve commercial contracts, employment, data protection, real estate, M&A and financial services regulation.
