We’re on a mission to revolutionise Probate and Estate Planning by building a more human, tech-enabled legal experience - and
we’re looking for a hands-on, passionate Private Client Solicitor to join us on the journey.
You’ll be joining the legal arm of Octopus Legacy, working at the heart of our Probate service. From day one, you’ll take
ownership of a diverse caseload, primarily focused on probate and estate administration, with the opportunity to expand into
trusts and estate planning over time.

The Role We are seeking a dedicated Private Client Solicitor to join our growing team. You will be responsible for crafting bespoke wills, providing IHT guidance, and advising on, establishing and administering trusts for clients who require tailored solutions that accurately reflect their wishes regarding the distribution of their assets. This role involves working closely with clients to understand their unique circumstances, including complex family structures, business ownership, and other considerations. You will need a strong understanding of trusts, inheritance tax and estate planning, as well as excellent communication skills to effectively advise clients and ensure their wishes are properly documented. Your expertise in trusts will allow you to provide strategic advice on wealth preservation, inheritance tax planning, and asset protection. Experience in probate and estate administration is a plus. KEY RESPONSIBILITIES: * Engage with clients to understand their estate planning needs and objectives. * Analyse complex family and financial situations to determine appropriate estate planning and trust strategies. * Draft wills, trusts (including discretionary, life interest, and bare trusts), and other estate planning documents tailored to each client's individual circumstances. * Provide expert guidance on the creation, administration, and taxation of trusts, ensuring compliance with legal and regulatory requirements. * Advise clients on the implications of trust structures for asset protection, succession planning, and tax efficiency. * Review and revise existing wills, trusts, and estate planning documents as necessary to accommodate changes in clients' circumstances or the law. * Collaborate with financial advisors, and other professionals to develop comprehensive estate and trust planning solutions for clients. * Handle the administration of trusts, ensuring proper management and distribution of assets in line with settlors’ intentions. * Maintain confidentiality and discretion when handling sensitive client information. * Stay abreast of industry trends and best practices in estate planning and trust law to enhance service delivery. Key Responsibilities: Fund Raising: * Establishing Pantheon funds and assisting in their fundraising; advising on fund structure; drafting / reviewing fund documentation (LPAs, PPMs, side letters, etc.); co-ordinating investor closings; fund maintenance work * Assisting with segregated account programmes – drafting / reviewing / negotiating term sheets, investment management agreements and segregated limited partnership agreements * Coordinating with internal marketing and investor relations teams, independent boards of directors, external counsel and administrators in respect of the launch, marketing/fundraising and maintenance of the Pantheon funds * Preparing and maintaining various Pantheon fund/client checklists Corporate and Regulatory: * Working alongside the Compliance team on issues connected with all UK/European regulatory aspects of Pantheon’s business (e.g. AIFMD and related issues around filings and marketing passports); keeping up to date on new European legislation relevant to fund structuring and management * Identification, interpretation and application of applicable UK laws, rules and regulations * Drafting / reviewing / negotiating a wide range of contracts (including commercial agreements, contracts with service providers, and statements of work) * Advising staff of legal and regulatory requirements/boundaries/risks * Supervising and educating external counsels on Pantheon practices * Liaising with applicable regulatory authorities * Attending to other general Pantheon group corporate matters Investment Work: * Assisting the various investment team divisions (primary, secondary, co-investment, infrastructure) in relation to investment transactions; assisting with queries on NDAs, fund / transaction terms * Preparing and maintaining various Pantheon investment checklists Knowledge and Experience Required: * Good ‘A’ Level (or equivalent) * Either an undergraduate Law degree, or any undergraduate degree plus a Graduate Diploma in Law * Qualified as a Solicitor in England & Wales. * English qualified solicitors must maintain a practising certificate. Working in close partnership with investment, finance, risk and operational teams, the team enables commercially sound decision-making while ensuring appropriate governance and risk management. Role Summary As Legal Counsel, you will be a trusted adviser to Triple Point’s Private Credit business. You will play a central role in structuring, negotiating and executing a broad range of lending and financing transactions. Working closely with Origination, Credit, Portfolio Management, Finance and senior stakeholders, you will provide commercially focused legal advice that enables informed investment decisions, protects investor capital and supports the continued growth of Private Credit. The role provides exposure across SME Debt Finance, Corporate Lending, Property Development Finance, Specialty Finance and Funds Finance, supporting new originations, refinancings, restructurings and portfolio management throughout the lending lifecycle. Key Responsibilities Transaction Execution & Advisory * Act as a trusted legal adviser throughout the transaction lifecycle, from origination through to execution and completion. * Draft, negotiate and execute facility agreements, intercreditor agreements, security documentation and guarantees. * Review and advise on ancillary legal documentation, including sale and purchase agreements, hold harmless letters and non-disclosure agreements. * Review and negotiate acquisition finance and refinancing documentation. Portfolio Management & Ongoing Lending * Draft and negotiate amendments, waivers, consents, covenant resets, reservation of rights letters, security releases and restructuring documentation. * Support refinancings, restructurings, recoveries and enforcement strategies where appropriate. Risk Management & Governance * Identify, communicate and manage legal and commercial risks in a practical, solutions-focused manner. * Ensure lending documentation remains robust, enforceable and aligned with market practice. * Oversee Companies House filings, perfection of security and post-completion requirements. * Develop legal precedents and templates, and share knowledge across the business. Collaboration & Continuous Improvement * Build trusted relationships across Private Credit and the wider Triple Point business. * Manage relationships with external counsel, borrowers and advisers. * Champion continuous improvement and high performance within the Legal team. Experience Essential * Qualified and experienced Solicitor in England & Wales with extensive PQE and a current practising certificate. * Strong experience advising on lending and financing transactions, gained in private practice and/or an in-house legal team within a financial institution, investment manager or private credit fund. * Strong working knowledge of facility agreements, security documentation and intercreditor arrangements. * Experience supporting the full transaction lifecycle, from origination through execution to ongoing portfolio management. * Excellent commercial judgement, with the ability to balance legal risk and commercial objectives. Desirable * Experience advising private debt funds or alternative lenders. * Experience supporting restructurings, refinancings and distressed situations. * Experience in one or more of the following areas: Leverage Finance, Corporate Lending, Funds Finance, Property Development Finance or Specialty Finance.
