As Counsel, Litigation & Risk Management, you will help lead the company’s response to employment- related and operational
disputes, and help proactively manage legal risk across a large, multi-state care network. You will partner closely with both HQ
and Care operations teams to address pre-litigation disputes and litigation, provide practical advice on employment and compliance
issues, and build scalable processes that reduce risk and support compliant growth.
This role is critical to ensuring that Honor navigates an increasingly complex regulatory and litigation landscape while
continuing to operate efficiently and compassionately at scale. You will have the opportunity to directly influence business
practices, shape risk mitigation strategies, and work at the intersection of legal, operations, and technology.
This is a remote role. Occasional time-sensitive matters may require responsiveness outside of standard business hours or travel.
The Care Platform Legal team provides practical legal support to Honor’s operations, People team, and leadership across a
multi-state workforce. In this role, you will work closely with the Vice President, Deputy General Counsel (Care, Litigation &
Employment) and a Risk Management & Litigation Specialist. You will also be part of the broader Legal, Standards, and Advocacy
team, working collaboratively to support and advise on matters across the company.

The annual base salary range for this role is $171,900 - $191,000. Individual compensation will be commensurate with the
candidate's experience and qualifications.
Base pay is just one part of our total rewards program. Honor offers equity and 401K with up to a 4% match. We provide medical,

As a Senior Counsel, Shareholder Litigation on the Litigation team, you'll manage and drive Coinbase's defense across securities class actions, shareholder derivative suits, and related complex civil litigation. This team sits within Legal - Litigation and handles some of the highest-stakes disputes the company faces, from federal securities claims to corporate governance disputes. You'll serve as the primary in-house point of contact for these proceedings, shaping strategy from pleadings through resolution and advising senior leadership and the board on litigation risk. What you'll do: * Own the day-to-day management of securities class actions brought under the Securities Act of 1933 and the Securities Exchange Act of 1934, including pleadings strategy, discovery, motions practice, expert work, and settlement negotiations. * Lead the defense of shareholder derivative litigation, including pre-suit demand letters and attendant matters. * Partner cross-functionally with corporate and commercial legal teams on a variety of issues including public company filings. * Manage and direct outside litigation counsel from case inception through resolution, including pleadings strategy, discovery, motions practice, expert work, and settlement negotiations. * Monitor developments in corporate law and other relevant jurisdictions and proactively advise on how emerging case law may affect the company's governance structures, disclosure practices, or litigation posture. * Build and maintain relationships with D&O insurance carriers and brokers to manage the claims process. Required Skills and Experience: * 7+ years of litigation experience with meaningful time spent on securities class actions, shareholder derivative litigation, or related complex civil litigation at a leading law firm and/or in-house. * Deep familiarity with corporate law, including fiduciary duty standards and the Securities Laws. * Experience litigating in Delaware Chancery Court. * Familiar with the Private Securities Litigation Reform Act (PSLRA), applicable pleading standards, and the procedural landscape for securities class actions in federal court. * Proven track record managing outside counsel strategically and resolving high-stakes litigation efficiently, including experience with D&O insurance structures and coverage. * Juris Doctor from an accredited law school and active membership in a US state bar in good standing. * Utilizes generative AI responsibly, maintaining human oversight to deliver business-ready outputs and drive measurable improvements in workflow efficiency, cost, and quality. #LI-Remote Pay Transparency Notice: Base salary varies by location (see range below).
