We manage corporate governance for 60+ global subsidiaries, public company reporting, equity programs, a venture portfolio, M&A, every institutional client agreement, and product counsel for all of Coinbase's PGs — from tokenized equities to stablecoin launches. WHAT YOU'LL DO: * Architect and build Legal AI infrastructure — Design and ship a platform of AI agents and automated workflows that replace high-volume, templated legal work including institutional client agreement redlining, SEC filing support, subsidiary governance workflows, and commercial deal processing. * Own the institutional client agreement automation system — Our highest-priority use case: build an end-to-end agentic workflow that ingests counterparty markups, evaluates them against a structured playbook, generates a first-pass redline with comments, routes for human review, and tracks outcomes. This is a production-grade system affecting hundreds of institutional clients in pipeline. * Build a cohesive agent platform and governance layer — Consolidate a fragmented set of ad-hoc bots and agents into a consistent, documented, maintainable platform with naming conventions, personas, observability, and standards for how Legal agents are built and deployed. * Act as the technical thought partner to the VP and the broader Legal leadership team — Translate complex legal workflows into engineered systems, and translate engineering constraints back to non-technical stakeholders. The ability to bridge these worlds is as important as the engineering itself. * Define the make-vs-buy strategy — Evaluate and retire third-party legal tech tools in favor of purpose-built internal solutions where Coinbase's engineering strength gives us a structural advantage. * Be the case study — This role is explicitly designed to be a pilot for forward-deployed engineering in non-technical organizations at Coinbase. Success here creates the playbook for how other functions (Finance, HR, Operations) can undergo the same transformation. REQUIRED SKILLS AND EXPERIENCE: * 12+ years of backend software engineering experience, with a track record of shipping production systems at scale * Proven experience getting LLM-based applications to production — including evaluation frameworks, grounding, guardrails against hallucination, and human-in-the-loop design * Multi-agent orchestration experience — you've designed and operated systems where multiple AI agents collaborate, hand off work, and escalate to humans appropriately * Exceptional ability to communicate with and learn from non-technical domain experts — you don't need to know legal terminology on day one, but you need to rapidly internalize complex workflows and translate them into engineered systems * Platform mindset — you think in primitives, reusability, and standards, not just point solutions * Distributed systems fundamentals — the agreement automation system will touch document processing, structured playbook evaluation, routing logic, and audit trails; you need to architect this correctly from day one * Relentless drive to set and achieve ambitious goals in ambiguous, greenfield environments * Demonstrates the ability to responsibly use generative AI tools and copilots (e.g., LibreChat, Gemini, Glean) in daily workflows, continuously learn as tools evolve, and apply human-in-the-loop practices to deliver business-ready outputs Job ID: P77646 Pay Transparency Notice: Base salary varies by location (see range below). As Senior Counsel, Product on the Product Legal team, you'll serve as the primary legal partner to product, engineering, and design teams building stablecoins, payments, and crypto infrastructure at Coinbase. This team provides full product life-cycle counseling across some of the most novel areas in fintech and crypto law. You'll shape how Coinbase navigates complex regulatory landscapes while shipping products that bring crypto into the financial mainstream, advising from ideation through launch and collaborating cross-functionally with Privacy, Regulatory, Compliance, and Finance. What you'll do: * Own the legal advisory relationship for stablecoin, payments, and crypto infrastructure product teams, providing day-to-day legal, business, and strategic counsel throughout the product life cycle. * Advise product managers and engineers on U.S. and international regulatory requirements, including money transmission laws, the GENIUS Act, NYDFS BitLicense, banking regulations, e-money issuance, securities regulation, and BSA compliance. * Drive resolution of novel legal issues by identifying risks, partnering with specialized colleagues across Legal, and engaging outside counsel where needed. * Partner cross-functionally with Compliance, Communications, Finance, Tax, Security, and Enterprise Risk Management to deliver cohesive legal guidance that enables product launches. * Shape the team's approach to emerging regulatory frameworks, proactively advising product teams on how new laws and guidance affect product design, disclosures, and go-to-market strategy. * Build scalable legal processes and playbooks that enable product teams to move quickly while maintaining compliance with applicable laws and regulations. As a Senior Counsel, Shareholder Litigation on the Litigation team, you'll manage and drive Coinbase's defense across securities class actions, shareholder derivative suits, and related complex civil litigation. This team sits within Legal - Litigation and handles some of the highest-stakes disputes the company faces, from federal securities claims to corporate governance disputes. You'll serve as the primary in-house point of contact for these proceedings, shaping strategy from pleadings through resolution and advising senior leadership and the board on litigation risk. What you'll do: * Own the day-to-day management of securities class actions brought under the Securities Act of 1933 and the Securities Exchange Act of 1934, including pleadings strategy, discovery, motions practice, expert work, and settlement negotiations. * Lead the defense of shareholder derivative litigation, including pre-suit demand letters and attendant matters. * Partner cross-functionally with corporate and commercial legal teams on a variety of issues including public company filings. * Manage and direct outside litigation counsel from case inception through resolution, including pleadings strategy, discovery, motions practice, expert work, and settlement negotiations. * Monitor developments in corporate law and other relevant jurisdictions and proactively advise on how emerging case law may affect the company's governance structures, disclosure practices, or litigation posture. * Build and maintain relationships with D&O insurance carriers and brokers to manage the claims process. Required Skills and Experience: * 7+ years of litigation experience with meaningful time spent on securities class actions, shareholder derivative litigation, or related complex civil litigation at a leading law firm and/or in-house. * Deep familiarity with corporate law, including fiduciary duty standards and the Securities Laws. * Experience litigating in Delaware Chancery Court. * Familiar with the Private Securities Litigation Reform Act (PSLRA), applicable pleading standards, and the procedural landscape for securities class actions in federal court. * Proven track record managing outside counsel strategically and resolving high-stakes litigation efficiently, including experience with D&O insurance structures and coverage. * Juris Doctor from an accredited law school and active membership in a US state bar in good standing. * Utilizes generative AI responsibly, maintaining human oversight to deliver business-ready outputs and drive measurable improvements in workflow efficiency, cost, and quality. #LI-Remote Pay Transparency Notice: Base salary varies by location (see range below).
