We’re looking for an experienced commercial attorney who views contracts as the key to building successful relationships and
growing a business, and who is excited to lead and optimize all contract-related processes. Our Commercial Counsel will own and
drive both customer and vendor contractual matters for the DEPT® Americas region and will serve as a trusted legal advisor to the
business on commercial agreements. This role requires an individual with deep legal acumen, executive presence, strong
collaboration and communication skills, and the ability to work independently with senior stakeholders. We prefer you have a solid
understanding of AI, digital services and technology development, and we’re happy to share the specifics of our business if you

We are looking for a creative and pragmatic problem solver to serve on our world-class Commercial Legal team, reporting to the Senior Director, Associate General Counsel, APJ. This role is based in our Sydney or Melbourne office with an in-person requirement of at least 3 days per week. RESPONSIBILITIES • Work closely and partner with Sales teams on SaaS transactions that drive company revenue. • Structure, negotiate, and close complex sales transactional agreements. • Provide sound advice and guidance on legal and business-related issues to senior business leaders. • Manage risk and ensure business and compliance needs are accurately reflected in agreements. • Work well in a fast-paced, dynamic work environment. • Respond promptly to the demands of an active technology sales team and their management. • Develop and deliver training on legal issues and contract processes. • Support continuous improvements of forms, policies and processes to help streamline, simplify and automate our contracting processes (including through the use of AI tools). • Keep abreast of the rapidly evolving legal landscape affecting our expanding portfolio of service features. A successful candidate will be able to forge strong relationships with Snowflake customers, as well as internal clients and cross-functional groups within Snowflake, including sales, professional services, alliances, finance, and deal desk. QUALIFICATIONS • At least 6 years of legal experience including in-house experience with a successful, high-growth enterprise SaaS company. • Law degree from a reputable university and current Australian practising certificate (or eligibility to hold one) • Outstanding analytical, drafting, negotiation, collaboration, written and communication skills. • Strong background with SaaS-centric issues (e.g., revenue recognition, tax, security, data privacy, intellectual property), professional services and various go-to-market programs. • Exceptional and pragmatic organizational, project management, problem-solving and prioritization skills. • Flexibility and eagerness to work hard in a fast-paced environment and meet tight deadlines (especially at quarter end). • The ability to think and execute both strategically and tactically. • Highly effective interpersonal skills with the ability to work with a wide variety of people at all levels inside and outside the organization. • Service-oriented, responsive, professional and strong integrity. • Experience working with highly regulated cloud customers (e.g., FinServ, healthcare, etc.) and/or experience supporting the sale of generative AI offerings (and negotiation of associated terms), is a plus. • Experience in public sector contracting at state and/or federal level is a plus. • Familiarity with contract lifecycle management (CLM) solutions and AI-enabled tools is a plus. Reporting to the Senior Director, International Commercial Legal, this position will be ideal for a self-sufficient and resourceful mid-level attorney located in Munich, Germany. WHAT YOU WILL BE DOING Primarily responsible negotiating and structuring a wide variety of commercial contracts (including Cloud/SaaS and Software Subscription agreements, Professional Services agreements, Data Processing Agreements and associated schedules ensuring compliance with the GDPR), in support of our Sales and Partner organizations in the Central Region (Austria, Germany and Switzerland). Support the Sales & RFP teams during procurement processes, reviewing ITT/RFP requirements, drafting legal responses, and advising on proposed terms and conditions. Engage closely with Elastic’s Central Region Legal lead based in Munich, Germany, the wider Legal Department spread across the USA, EMEA and APJ and Elastic’s go-to-market stakeholders e.g. finance and compliance organization.
