Responsibilities: Support in the provision of legal advice: * Provide transactional support to Alcazar Energy in deal execution, including drafting/reviewing documents, preparing legal documentation throughout the investment lifecycle, supporting negotiations, providing support on legal aspects related to transaction structuring, ETC * Support the provision of legal, regulatory and corporate governance advice and direction to facilitate the making of informed decisions while managing key legal and regulatory risks. * Provide awareness and answer basic queries in relation to standard legal documentation/templates. Assist in drafting and reviewing agreements and contracts: * Review and negotiate standard legal related documentations and contracts, and assess legal and regulatory risks in business operations, with guidance from senior team members. * Assist in identifying and assessing legal and commercial risks of transactions and developing action plans and basic solutions for identified deficiencies. * Provide legal advice to Alcazar Energy corporate and to business teams: * Provide sound commercial legal and regulatory advice to Alcazar Energy, and its assets and subsidiaries, as required, ensuring compliance with the defined legal framework and protecting the company’s legal interests. * Partner with transaction teams throughout the transaction execution process through conducting pre-contract risk assessment, transaction and project structuring and execution and post completion management, to cater to the business function’s needs and protect its interests at appropriate risk levels. * Support Corporate workstreams: * Company secretarial administration, board packs, resolutions, POAs, corporate registers, KYC requests, statutory filings and liaison with corporate service providers. * Origination of Investment: * Provide legal support on acquisitions and investment transactions, including management of legal due diligence, drafting and negotiation of transaction documents, coordination of local counsel, preparation of signing and closing deliverables, management of conditions precedent, execution planning and support with transaction structuring. Support Project Finance workstreams: * Lead the day-to-day legal support for development and execution projects, including drafting and negotiation of project agreements, management of local counsel, permitting support, land and transmission agreements, procurement documentation and legal support throughout project execution. Support Project Delivery & Operations: * Provide legal support to the Delivery & Operations team on contractual and commercial legal matters, including review and negotiation of service agreements and ancillary contracts, legal support during the negotiation and execution of key project agreements, contractual interpretation, legal conditions precedent, coordination with external counsel and day-to-day legal advice throughout project execution and operations. Support Fund operations: * Provide legal support on acquisitions, disposals and internal portfolio transactions, including transaction structuring, coordination with tax, finance and external counsel, drafting and negotiation of transaction documentation, incorporation and ongoing corporate management of project companies, management of signing and closing workstreams, and ongoing legal support for portfolio companies. Address legal and other related risks: * Identify and assess legal, regulatory and commercial risks, and develop risk mitigation strategies to minimise exposure to uncontrolled risk. * Provide expert advice on drafting and negotiating agreements and contracts: * Provide advice on drafting contracts and increasing awareness of the application of laws and regulations to support securing beneficial and commercially advantageous opportunities. * Develop, review and/or negotiate agreements, contracts and relevant legal documentation for the business function, its subsidiaries and assets, as applicable. * Counsel management on the interpretation and application of contractual provisions to implement legal contracts. Support with litigations and business advice: * Assist in the preparation of litigation or court proceedings where necessary. * Participate in internal and external meetings, as required, to discuss the legal aspects of the business function operations. * Engage proactively with the assigned business function to gather information, understand needs, and set expectations. * Assist external counsel: * Assist in managing and monitoring activities performed by external legal counsel and reviewing output. Preferred Qualifications: · A bachelor’s degree holder in law from an internationally reputable university. · Admission to practice in the UAE or an internationally recognised jurisdiction Preferred Experience: · At least 3 years of post-qualification experience, preferably in an international law firm Job-Specific Skills: * Strong theoretical legal knowledge * Basic knowledge of the legal, legislative and regulatory environment of relevant geographic markets locally and globally as related to renewables * Good knowledge of the UAE’s laws, regulations, and legal reporting standards * Knowledge of contracts pre-assessment, negotiation, formulation, and management * Ability to lead negotiations related to familiar issues and matters with guidance from senior team members, or attending complex negotiations with team members * Ability to clearly justify legal position and form legal arguments * Strong research skills and ability to gather and assess the right information at the right time in relation to legal matters and precedents * A practical, hands-on disposition. Responsibilities: The Associate will own day-to-day borrower-side administration of the firm's project-financed SPVs from financial close through construction and into operations. The work covers the full set of borrower obligations under a typical DFI/commercial lender financing package, including: * Compliance monitoring — tracking and managing conditions subsequent, ongoing reporting obligations and information covenants across the Common Terms Agreement, individual Facility Agreements, Accounts Agreement, hedging documentation and project documents (EPC, BoP, TSA, TOMA, PPA, offtake and grid agreements). The Associate should be comfortable reading the underlying documents and identifying obligations directly, rather than relying on external counsel to flag them. * CP/CS management — building and maintaining the project's CP and CS trackers, gathering and packaging evidence, and driving the satisfaction of conditions across internal teams and external counterparties. * Drawdown and waterfall administration — preparing and submitting utilisation requests, supporting documentation packs, CP/CS evidence, and managing the project accounts waterfall (including cash sweeps, DSRA, MMRA (if applicable) and distribution mechanics). * DSCR and lock-up monitoring — calculating forward- and backward-looking DSCRs, LLCRs and other lender-defined ratios, tracking headroom to distribution lock-up triggers and providing early warning on emerging covenant risk. * Debt service and hedging administration — coordinating interest rate fixings, EURIBOR/SOFR resets, interest and principal payments, swap settlements, and reconciling against the agreed repayment schedules. * Lender reporting and engagement — preparing periodic operational and financial reports for lenders and the intercreditor agent, managing the day-to-day lender relationship at working level, supporting annual budgets and operating plans, and managing lender consents, waivers, amendments and information requests. * Asset management interface — working closely with technical, commercial and ESG colleagues to track project KPIs (availability, generation, opex, capex variance) against the base case and lender requirements, and translating operational performance into financing implications. * Model maintenance and analysis — keeping in-life project models current with actuals and updated assumptions, producing forecasts for board, lender and investor reporting, and running the DSCR, sensitivity and scenario analysis that supports refinancings, amendments and lender engagement. * Model review and governance — reviewing and challenging lender, model-auditor and counterparty model outputs for material errors and assumption integrity, and maintaining version control and a clear audit trail across the model suite. * External advisor coordination — managing inputs to and outputs from the LTA, Independent Engineer, insurance adviser, model auditor, lender legal counsel and accounts bank, and supporting any post-close advisory deliverables. * Amendments and waivers — running selective refinancings, repricings, top-ups and amendment-and-restatement processes from the sponsor side as portfolio assets mature, including drafting first-cut waiver and consent requests for lender consideration. Relationship Management: The Associate reports to the Associate Partner/Partner within the PF/Investment team and works in close collaboration with the wider investment, asset management, finance and ESG teams. The role offers direct exposure to senior management, lenders and external advisors, and a clear development path into more senior portfolio management and structuring roles within the platform. Qualifications and Skills: * 3–6 years of project finance experience, with at least 2–3 years at a developer, IPP, infrastructure fund or sponsor. * Demonstrable experience administering live project-financed SPVs end-to-end — drawdowns, lender reporting, waivers, consents, CP/CS, debt service, account waterfalls. * Advanced Excel and strong hands-on project finance modelling skills — able to maintain, interrogate and stress-test sponsor-side models (DSCR sculpting, debt sizing, sensitivity engines, three-way financial statements, tax modelling and circular references) and stand behind the outputs, rather than necessarily having built them from scratch. * Working knowledge of project finance documentation — CTAs, facility agreements, accounts agreements, intercreditor and security sharing arrangements, hedging documentation, and the principal project documents — at the level required to identify obligations and risk directly rather than via counsel. * Direct experience of DFI lending practice (IFC, EBRD and similar), including E&S reporting, is a strong advantage (not a must). * Numerate and accounting-literate, with the ability to translate technical financial analysis into clear written and verbal communication for non-specialist stakeholders. * Comfortable managing multiple live workstreams in parallel under time pressure around drawdowns, reporting deadlines and lender approvals. * A practical, hands-on disposition.
