The Associate will own day-to-day borrower-side administration of the firm's project-financed SPVs from financial close through
construction and into operations. The work covers the full set of borrower obligations under a typical DFI/commercial lender
across the Common Terms Agreement, individual Facility Agreements, Accounts Agreement, hedging documentation and project
documents (EPC, BoP, TSA, TOMA, PPA, offtake and grid agreements). The Associate should be comfortable reading the underlying
documents and identifying obligations directly, rather than relying on external counsel to flag them.

Responsibilities: Support in the provision of legal advice: * Provide transactional support to Alcazar Energy in deal execution, including drafting/reviewing documents, preparing legal documentation throughout the investment lifecycle, supporting negotiations, providing support on legal aspects related to transaction structuring, ETC * Support the provision of legal, regulatory and corporate governance advice and direction to facilitate the making of informed decisions while managing key legal and regulatory risks. * Provide awareness and answer basic queries in relation to standard legal documentation/templates. Assist in drafting and reviewing agreements and contracts: * Review and negotiate standard legal related documentations and contracts, and assess legal and regulatory risks in business operations, with guidance from senior team members. * Assist in identifying and assessing legal and commercial risks of transactions and developing action plans and basic solutions for identified deficiencies. * Provide legal advice to Alcazar Energy corporate and to business teams: * Provide sound commercial legal and regulatory advice to Alcazar Energy, and its assets and subsidiaries, as required, ensuring compliance with the defined legal framework and protecting the company’s legal interests. * Partner with transaction teams throughout the transaction execution process through conducting pre-contract risk assessment, transaction and project structuring and execution and post completion management, to cater to the business function’s needs and protect its interests at appropriate risk levels. * Support Corporate workstreams: * Company secretarial administration, board packs, resolutions, POAs, corporate registers, KYC requests, statutory filings and liaison with corporate service providers. * Origination of Investment: * Provide legal support on acquisitions and investment transactions, including management of legal due diligence, drafting and negotiation of transaction documents, coordination of local counsel, preparation of signing and closing deliverables, management of conditions precedent, execution planning and support with transaction structuring. Support Project Finance workstreams: * Lead the day-to-day legal support for development and execution projects, including drafting and negotiation of project agreements, management of local counsel, permitting support, land and transmission agreements, procurement documentation and legal support throughout project execution. Support Project Delivery & Operations: * Provide legal support to the Delivery & Operations team on contractual and commercial legal matters, including review and negotiation of service agreements and ancillary contracts, legal support during the negotiation and execution of key project agreements, contractual interpretation, legal conditions precedent, coordination with external counsel and day-to-day legal advice throughout project execution and operations. Support Fund operations: * Provide legal support on acquisitions, disposals and internal portfolio transactions, including transaction structuring, coordination with tax, finance and external counsel, drafting and negotiation of transaction documentation, incorporation and ongoing corporate management of project companies, management of signing and closing workstreams, and ongoing legal support for portfolio companies. Address legal and other related risks: * Identify and assess legal, regulatory and commercial risks, and develop risk mitigation strategies to minimise exposure to uncontrolled risk. * Provide expert advice on drafting and negotiating agreements and contracts: * Provide advice on drafting contracts and increasing awareness of the application of laws and regulations to support securing beneficial and commercially advantageous opportunities. * Develop, review and/or negotiate agreements, contracts and relevant legal documentation for the business function, its subsidiaries and assets, as applicable. * Counsel management on the interpretation and application of contractual provisions to implement legal contracts. Support with litigations and business advice: * Assist in the preparation of litigation or court proceedings where necessary. * Participate in internal and external meetings, as required, to discuss the legal aspects of the business function operations. * Engage proactively with the assigned business function to gather information, understand needs, and set expectations. * Assist external counsel: * Assist in managing and monitoring activities performed by external legal counsel and reviewing output. To provide support to Transaction Leaders in identifying, analysing and monitoring renewable energy investments. Individuals are typically involved in conducting deal analysis and due diligence. Responsibilities may involve screening proposed deals based on established investment criteria. Individuals at this level are still developing the techniques and skills necessary to manage renewable energy investments Responsibilities: * Financial Modelling - Conduct financial modelling and projections as directed by Investment Management and Development teams. Coach and mentor Analysts on financial modelling * Analyse – Analyse company financial statements, company accounts and sector data. Remain abreast of relevant economic and political events impacting on and influencing the Renewable Energy sector. About the role: We are looking for a Portfolio Associate to join the OEGEN funds team, to support Octopus Renewables Infrastructure SCSp, a Luxembourg-based, a renewable energy and energy infrastructure open-ended unitised partnership with nearly £3bn of funds under management. The fund is expected to grow through new investor subscriptions, offering strong opportunity for development within the role. The role combines valuation, portfolio management and value creation. As part of the role you will be allocated a number of asset portfolios (typically on a country or technology basis) from the Sky fund for which you have responsibility for the quarterly valuation process, identifying opportunities to enhance long term asset value and work alongside the country P&L leads to support short term performance and decision making. This includes analysing operational performance, new revenue contracts, financing structures, asset life extensions and other initiatives that maximise long-term investor returns. In addition you will support portfolio performance and strategic decisions at the fund level, including, but not limited to, debt strategies and the impact of acquisitions and disposals on fund metrics. This is a hands-on portfolio management role with valuation at its core. The successful candidate will be expected to update, operate, improve and own valuation models directly, not simply review outputs prepared by others and take an active role in the delivering the performance targets for the portfolios they are responsible for. They will work closely with portfolio management, asset management, finance, tax, external valuers and auditors to ensure valuations are technically robust, commercially grounded and clearly explained to decision-makers. Alongside this they will be able to oversee external valuation agents to ensure that consistency is maintained across the portfolio. The successful candidate is also expected to work with OEGen teams to assess and deliver long term value strategies and support short term performance objectives. The role would suit someone from an infrastructure fund, renewable energy investment manager, infrastructure asset manager, project finance team, or specialist valuations / modelling team in professional services. The key requirement is strong practical valuation experience, direct model ownership and the ability to translate valuation insights into commercial portfolio decisions. The role also has a forward-looking change agenda. We are investing in tools to improve the quality, consistency and efficiency of valuation processes. The successful candidate should be comfortable using advanced Excel and ideally VBA, and should be interested in how automation, data tools and AI can improve infrastructure valuation processes over time.
